Mostafa advises clients on corporate law, mergers and acquisitions, corporate governance, foreign investment, regulatory compliance, employment law, telecommunications, government tenders and procurement, intellectual property, commercial contracts, litigation, arbitration, and dispute settlement. His practice includes bilingual legal drafting, legal due diligence, regulatory analysis, the development of internal policies and procedures, and the formulation of legal strategies addressing clients’ operations, projects, and investments.

Mostafa holds a Master’s Degree in Public International Law from the Faculty of Law at Tanta University, together with postgraduate diplomas in International Law and Administrative Law. He also holds a Bachelor of Laws from the English Section of the Faculty of Law at Tanta University, Egypt. He is a member of the Egyptian Bar Association.

Corporate & Mergers and Acquisitions

Participated in mergers and acquisitions and related legal due diligence exercises, advising clients on legal and regulatory matters arising from commercial and corporate transactions. His work includes reviewing transaction structures, identifying legal risks, preparing legal opinions, and drafting and reviewing acquisition, merger, investment, settlement, and corporate documentation in Arabic and English.

Advised Saudi and international clients on cross-border transactions and business arrangements involving entities operating within and outside Saudi Arabia. Drafted and reviewed commercial agreements, corporate resolutions, minutes, memoranda, and other transaction documents, and assisted clients throughout the negotiation and implementation of proposed transactions.

Corporate Governance & Compliance

Advises companies on corporate governance matters, including board and shareholders’ meetings, corporate resolutions and minutes, management authorities, internal approvals, governance requirements, and compliance with applicable Saudi laws and regulations.

International Corporate Establishment

Advised and assisted Saudi and foreign investors in establishing companies in the Kingdom of Saudi Arabia before the Ministry of Investment and the Ministry of Commerce. His work includes advising on corporate structures, preparing incorporation documents, and completing procedures for registrations and regulatory approvals.

Drafts articles of association, bylaws, amendments to constitutional documents, shareholders’ and managers’ resolutions, and minutes of meeting in accordance with the Saudi Companies Law and clients’ commercial objectives. Regularly liaises with ministries, governmental entities, regulatory authorities, and specialised committees to obtain licences, approvals, permits, and registrations required for clients’ business activities.

Litigation & Dispute Resolution

Handles commercial, administrative, employment, contractual, and corporate disputes before Saudi courts, judicial bodies, and specialised committees. He manages litigation from initial assessment through claims, defences, replies, appeals, and enforcement.

Drafts statements of claim, statements of defence, reply memoranda, appellate submissions, pleadings, settlement agreements, and legal opinions in Arabic and English. He has acted for claimants and defendants and managed electronic litigation and enforcement procedures through Najiz and Moeen platforms.

Develops commercially focused and cost-effective strategies for resolving disputes and legal challenges. His experience includes negotiating with counterparties and external legal counsel.

Commercial Contracts

Drafts, reviews, and negotiates a wide range of commercial, corporate, governmental, administrative, employment, acquisition, merger, settlement, and business agreements in Arabic and English.
